eighteen hundred and sixty-eight, and amended again by an act entitled "An Act to amend the charter of the Freewill Baptist Foreign Mission Society," approved January twentysix, eighteen hundred and eighty-three, are hereby authorized and empowered to transfer and deliver to the said General Conference of Free Baptists all their real and personal property and estate, and all their powers, privileges, rights and immunities, to be held and used by the said Conference for the purposes mentioned in this act; and upon such transfer and delivery, all the powers, privileges, rights and immunities of the said society shall be vested in the said General Conference of Free Baptists.

SECT. 7. The Free Baptist Woman's Missionary Society Authorized to incorporated by an act approved January twenty-six, eighteen erty of the F. hundred and eighty-three, are hereby authorized and empowered to transfer and deliver to the said General Conference of Free Baptists all their real and personal property and estate and all their powers, privileges, rights and immunities, to be held and used by the said Conference for the purposes mentioned in this act, and upon such transfer and delivery, all the powers, privileges, rights and immunities of the said society shall be vested in the said Conference.

SECT. 8. The said General Conference shall have the right to hold and use for the purposes mentioned in this act all the real and personal property and estate, and shall be entitled to all the powers, privileges, rights and immunities of the Freewill Baptist Home Mission Society, a corporation existing under the laws of the State of New Hampshire by an act approved June twenty-eight, eighteen hundred and thirty eight, and amended by an act approved June twenty-seven, eighteen hundred and fifty-nine, and amended again by an act approved July five, eighteen hundred and sixty-seven, whenever the said society being duly authorized by the said State of New Hampshire shall transfer and deliver the same.

SECT. 9. The said General Conference shall have the right to hold and use for the purposes mentioned in this act, all the real and personal property and estate, and shall be entitled to all the powers, privileges, rights and immunities of the Freewill Baptist Educational Society, a corporation existing under the laws of the State of New Hampshire by an act approved July seven, eighteen hundred and forty-six, and

amended by an act approved June twenty-nine, eighteen hundred and seventy, entitled "An Act in amendment of an act to incorporate the Freewill Baptist Educational Society," whenever the said society being duly authorized by the said State of New Hampshire shall transfer and deliver the same. SECT. 10. All property held by the said societies, and all gifts, bequests, devises and conveyances of property heretofore made to said societies, or which may hereafter be made to them or any of them shall be held and used by the said Conference for the purpose designated in the making of the several gifts, bequests, devises and conveyances and shall be subject to all the conditions, limitations and uses contained in the several gifts, bequests, devises and conveyances to said societies.

SECT. 11. Whenever the said societies or any one of them shall transfer their property to the said Conference, the said Conference shall have the right to hold and use for the purposes mentioned in this act, the property that may be thus transferred in addition to the sum of personal and real estate authorized to be held in section one of this act.

SECT. 12. If at the time of the transfer and delivery of the real and personal property and estate of the said societies or of any one of them to the said General Conference of Free Baptists, or at any other time the said societies or any one of them, holds any property, gifts, bequests or devises, which are not transferable, said societies or any one of them shall continue to hold and use the property thus held for the purpose designated in making of the gifts, bequests, devises or conveyances of property thus held.

SECT. 13. It shall not be necessary for more than nine persons mentioned in the first section of this act as corporators to constitute a quorum for the acceptance of this act, and the said Conference shall have the right to fix the number to constitute their quorum from time to time, and also to fix the number to constitute the quorum of their Conference Board.

SECT. 14. Oren B. Cheney, George H. Ball, Laura A. DeMeritte, Clarence A. Bickford and Nathan C. Brackett, or any five persons mentioned in the first section of this act may call the first meeting of this corporation by giving notice of the time and place in some paper published in this state, at

least fourteen days before the time of holding said meeting. SECT. 15. This act shall take effect when approved.

An Act ratifying the change of name of the Penobscot Shore Line Railroad Company.

Be it enacted by the Senate and House of Representatives

in Legislature assembled, as follows:

SECT. 1. The change of name of the Penobscot Shore Line Name changed. Railroad Company to Knox and Lincoln Railway is hereby

ratified and confirmed.

SECT. 2. This act shall take effect when approved.

Chapter 3.

An Act to amend the charter of the Maine Charity School.

Be it enacted by the Senate and House of Representatives

in Legislature assembled, as follows:

'SECT. 4. Be it further enacted that said trustees, in behalf of said seminary, may receive and hold in fee simple, or otherwise, by gift, grant, demise, devise, bequest or otherwise, any lands or other estate, real or personal; provided, the annual income thereof shall not exceed the sum of fifty thousand dollars; and the said trustees may sell, demise, grant or otherwise dispose of the same, and apply the proceeds, rents, and profits thereof, in such way as they may judge will be most conducive to the general interest of said seminary, and the promotion of piety and literature; and said corporation is hereby made capable in law, to sue and be sued in all actions, real and personal, or mixed, and to prose- actions. cute and defend the same to final judgment and execution, by the name of the Maine Charity School, and said trustees may, at any time appoint an agent to prosecute or defend such suit.'

Chapter 4.

An Act to incorporate the New England Free Baptist Association.

Be it enacted by the Senate and House of Representatives in Legislature assembled, as follows:

SECT. 1. Oren B. Cheney, Charles S. Perkins, Mary A. Davis, Ethnan W. Porter, Ebenezer D. Wade, Laura A. DeMeritte, Smith Steere, Rufus Deering, Emeline S. Burlingame, Lewis B. Stillman, Benjamin C. Jordan, Lucinda W. Preble, Simeon C. Whitcomb, Lewis Malvern, Chester Dickey, Newell A. Avery, Francis Martin, Asa C. Russell, Thomas Spooner, James L. Tourtellot, Ephraim W. Ricker, their associates and successors are hereby constituted a corporation for religious, missionary, educational, charitable and recreative purposes under the name of the New England Free Baptist Association and by that name shall have power to prosecute and defend suits at law, to use a common seal and to change the same at pleasure, to take and hold for the objects of their association by gift, grant, bequest, purchase or otherwise any estate, real or personal or both, the annual income of which shall not exceed fifty thousand dollars, and to sell and convey any estate, real or personal or both, which the interests of said association may require to be sold and conveyed.

SECT. 2. The said corporation may choose all necessary officers and may adopt such a constitution or such by-laws, either or both, the same not being repugnant to the constitution and laws of this state, as they may deem expedient for the management of their affairs from time to time; and they shall be and they are hereby invested with all the powers, privileges, rights and immunities, incident to similar corporations.

SECT. 3. The said association may appoint a board to be called the executive board, and to consist of as many members as the association may deem necessary, to whom full power may be delegated to act for and in behalf of the association from one meeting of the association to another.

SECT. 4. The said association shall have the right to hold their meetings for the choice of officers and for all other purposes in any of the New England states; and their clerk or

recording secretary and other officers may be chosen from CHAP. 5 such state or states in New England as the said association may elect.

The Ocean Park Association, incorporated by Ocean Park an act approved January twenty-four, eighteen hundred and authorized to eighty-one, entitled "An Act to incorporate the Ocean Park property. Association," are hereby authorized to transfer and deliver to the said New England Free Baptist Association all their real and personal property and estate, and existing rights to be held and used by said association for the purposes mentioned in this act, and whenever such transfer and delivery shall be made, all the powers, privileges, rights and immunities of the said Ocean Park Association shall be vested in the said New England Free Baptist Association.

SECT. 6. If at the time of the transfer and delivery of the real and personal property and estate of the said Ocean Park Association to the said New England Free Baptist Association, or at any other time, the said Ocean Park Association, holds any property, gifts, bequests, or devises which are not transferable, the said Ocean Park Association shall continue to hold and use the property thus held by it for the purposes designated in the making of the gifts, bequests, devises and conveyances of property thus held.
