To J. A. Hadley, the sum of eight dollars for newspapers furnished members of the legislature during the present session To Geo. P. Delaplaine, the sum of two hundred and fitty dollars, as extra compensation up to the 13th day of March, A. D. 1818, as auditor of the territory.

To R. G. Spaulding, for painting on the capitol from October 20, 1847, to January 1, A. D. 1848, in full of account, the sum of eighty dollars.

To James M. Goodhue, for papers furnished the members of the present legislature, eight dollars.

To Lake & Spraque, for papers farnished the members of the legislature, eight dollars.

To W. W. Wyman, the sum of thirty-three dollars, for publishing the constitution and publishing proclamations.

To David Holt, for a clock for the council chamber, black book and maps, the sum of fifteen dollars and one cent.

To John McBride, for wood as per contract with superintendent of territorial property, the sum of seven hundred and eighty-seven dollars and eighty-seven cents.

To C. L. Sholes, the sum of five dollars and fifty-six cen's, for newspapers furnished to members of the legislative assembly at its present session.

The auditor of the territory shall be. and hereby is author ized to issue his warrant to Holton & Goodall upon the treas ury, for the sum of two hundred and fifty dollars in place of the scrip, or certificates of the following numbers and amount,

or so much of the amount of said certificates as the auditor shall be satisfied have not been paid by the treasurer of the territory: Provided, that said warrant shall not be issued until the said Holton & Goodall shall execute and file with said auditor, a bond with sufficient sureties, to the auditor, for the use of the territory or state of Wisconsin, conditioned to defray any amount of said certificates that shall be hereafter presented at the treasury, for payment. The auditor shall also issue a like warrant for the further sum of fifty dollars, to the said Holton & Goodall, upon being furnished by them with the numbers and amount of like certificates to that amount, to be indemnified for the same a like bond as above provided for said scrip alleged to have been lost.

To Leach & Springer, for publishing constitution and proclamation, twenty-three dollars.

To J. A. Hadley, for like services, twenty-three dollars. To J. L. Marsh, for papers furnished the members of the legislature, eight dollars.

To Robinson & Brothers, twenty dollars for publishing constitution, three dollars for publishing governor's proclamation, and eight dollars for newspapers furnished to members of the present legislature.

To John Easton, for work done about the capitol as per bill rendered, twelve dollars.

To William Dutcher, the sum of twenty dollars as a full

compensation for transcribing the unfinished journal of the extra session, also the unfinished journal of the present ses. sion.

AN ACT

To incorporate the Milwaukee and Waterford plank road company.

Be it enacted by the Council and House of Representatives of the Territory of Wisconsin:

SECTION 1. That Charles M. Baker, E. D. Richardson, John Farnam, John P. Snell, Christopher Douglass, Cyrus Udell, Samuel R. McClellan, and Asahel U. Benham, be, and they are hereby appointed commissioners under the direction of a majority of whom subscriptions may be received to the capital stock of the Milwaukee, Waterford, and Wilmot Plank Road Company, hereby incorporated, and they may cause books to be opened at such times and places as they shall direct, for the purpose of receiving subscriptions to the capital stock of said company, first giving thirty days' notice of the time and place of taking such subscriptions, by publishing the same in three or more newspapers printed in Milwaukee and Walworth counties.

SEC. 2. That the capital stock of said company shal

be one hundred thousand dollars, to be divided into shares of Amount of fifty dollars each; and as soon as capital stock. seven hundred and fifty shares of stock shall be subscribed, and two dollars on each share of stock actually paid in, and a statement shall be deposited with the secretary of the Territory or of the State of Wisconsin, and authenticated by the oath of the secretary of the company and two or more of the said commissioners, that such subscriptions and payments have been in good faith made, the subscribers of such stock, with such other persons as shall associate with them for that purpose, their successors, and assigns, shall be, and they are hereby de- Name and clared a body corporate and politic, by the name and style of poration. "The Milwaukee, Waterford, and Wilmot Plank Road Company," with perpetual succession; and by that name shall have all the privileges, franchises, and immvnities incident to a corporation, and in their corporate name may sue and be sued, may have a common seal, which they may alter and renew at pleasure, and generally, may do all and singular the matters and things which to them it shall lawfully appertain to do for the well being of the said corporation.

SEC. 3. That the said commissioners, or a majority of When corpothem, after the said seven hundred and fifty shares of stock organize. shall have been subscribed as aforesaid, shall give at least thirty days' notice in the newspapers hereinafter mentioned, of the time and place by them appointed for the stockholders to meet for the purpose of electing nine directors; and annually thereafter the said stockholders shall meet on the first Monday of June forhe purpose of electing directors as aforesaid, upon a like notice to be given by the directors, for the time being, in such newspapers as they may deem advisable: Provisos. Provided, That previous to the first election, the commissioners. hereinbefore mentioned shall elect one of their number presient, and they shall perform all the duties, be invested with all the powers, and be required to possess all the qualifications required from directors of the company: and Provided, That if from any cause an election shall not be held at the regular time specified therefor, the same may be held at any other time, on notice as aforesaid. Until such election, the directors of the preceding year shall continue to act, and

that this charter shall not be avoided by reason of the irreg ularity or want of such election: and Provided also, That in case of a vacancy from the death or resignation of any director, his place shall be filled from among the stockholders by the board of directors, for the time being.

SEC. 4. The affairs of the said company shall be man. ers of direc aged by a board of nine directors, who shall be chosen annually by ballot, on the days hereinbefore prescribed by the stockholders of said company, the votes to be delivered in person or by proxy duly authorized; which directors shall appoint one of their number to be president; and they shall respectively serve for one year and until other directors be elected. They shall have power to make and establish such bye-laws, rules, orders, and regulations, not inconsistent with the constitution and laws of the United States, or of the Territory or State of Wisconsin, as may be necessary and convenient for the government of the said company, and generally, to do all and singular the matters and things which to them shall lawfully appertain, for the well being of the affairs of the same: Provided, That none but stockholders shall be eligible to be elected directors, and that at every such election, and in all other cases wherein the stockholders shall be called upon to vote, each share of stock shall be entitled to one vote; and also, that in all cases of elections for directors, the nine stockholders having the greatest number of votes shall be declared duly elected: And provided, That nothing herein contained shall be so construed as in any way giving to the said company any banking privile ges whatever or any right to issue any certificate of deposite or other evidence of debt, to circulate as money, or any other liabilities, immunities, or franchises, but such as may be necessary or incident to the making and maintaining of the plank road herein before provided for.
